Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by AppealIQ LLC ("AppealIQ," "we," "our," or "us"), including the AppealIQ platform, website (tryappealiq.com), and all related services.

1. Service Description

AppealIQ provides AI-assisted generation of insurance denial appeal letters and prior authorization request letters for healthcare providers ("Clinics"). AppealIQ is a clinical decision support tool — all letters must be reviewed by a licensed physician before submission to a payer.

2. Not Medical or Legal Advice

AppealIQ does NOT provide medical advice, legal advice, or legal representation. Letters generated by AppealIQ are drafts that require physician review, editing, and approval before submission. AppealIQ is not a law firm, medical practice, or insurance company. Use of our service does not create a physician-patient relationship, attorney-client relationship, or any other professional relationship.

3. HIPAA Business Associate Agreement

Before any Protected Health Information (PHI) is submitted to AppealIQ, the Clinic must execute a HIPAA Business Associate Agreement (BAA) with AppealIQ. No PHI may be submitted prior to BAA execution. AppealIQ will comply with all applicable provisions of the HIPAA Privacy Rule, Security Rule, and Breach Notification Rule.

5. Physician Review Requirement

Every letter generated by AppealIQ is a DRAFT that requires physician review. The ordering physician or an authorized reviewer at the Clinic is responsible for reviewing, editing, approving, and signing all letters before submission to any payer. AppealIQ is not responsible for the clinical accuracy of information provided by the Clinic or for decisions made by payers.

6. No Guarantee of Outcomes

AppealIQ does not guarantee that any appeal or prior authorization request will be approved. Approval decisions are made solely by the applicable insurance company or payer. Success rates cited on our website and marketing materials are based on published industry research (AMA, KFF, CMS) and do not constitute a guarantee of individual results.

7. Fees and Payment

Pricing is determined by mutual agreement between AppealIQ and the Clinic. Current pricing is available upon request. AppealIQ reserves the right to modify pricing with 30 days written notice. Pilot program access is provided at no cost for the agreed-upon pilot period.

8. Data Handling

AppealIQ operates on a zero-PHI-storage architecture. PHI is processed in memory only during letter generation and is not persisted in any database. Form submissions containing PHI are deleted within 72 hours of letter delivery per our data retention policy. See our Privacy Policy for complete data handling details.

9. Intellectual Property

The AppealIQ platform, including its software, clinical intelligence databases, prompt engineering, payer policy libraries, and all related intellectual property, is the exclusive property of AppealIQ LLC. Letters generated for a Clinic become the property of that Clinic upon delivery.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPEALIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE, DATA, OR PROFITS, ARISING OUT OF YOUR USE OF THE SERVICE. APPEALIQ'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CLINIC TO APPEALIQ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

The Clinic agrees to indemnify, defend, and hold harmless AppealIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) the Clinic's use of the service, (b) the Clinic's breach of these Terms, (c) the submission of inaccurate or incomplete clinical data, or (d) the Clinic's failure to review and verify letters before submission.

12. Termination

Either party may terminate the service at any time with written notice. Upon termination, AppealIQ will delete any remaining Clinic data within 30 days, except as required by law or the BAA.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Iowa.

14. Changes to Terms

We may update these Terms periodically. We will notify active Clinics of material changes via email at least 30 days before the changes take effect. Continued use after changes constitutes acceptance.
